2. No Guarantee of Results
Advertising results depend on many factors outside our control, including your offer, market, budget, and ability to respond to leads. While we work to deliver strong outcomes, we do not guarantee any specific result, lead volume, revenue, or return on ad spend. Any examples, benchmarks, or estimates are illustrative, not promises.
3. Client Responsibilities
- Provide accurate information and timely access to accounts, assets, and approvals.
- Maintain your own advertising accounts and fund ad spend directly with the platforms unless otherwise agreed.
- Ensure your business, offers, and any content you provide comply with applicable laws and platform policies.
- Respond to leads and inquiries generated through our services.
4. Fees & Payment
Fees, billing cycle, and payment terms are set out in your individual agreement or proposal. Unless otherwise stated, fees are due in advance and ad spend is separate from service fees. Late or missed payments may result in paused work.
5. Text Messaging
By providing your mobile number, you consent to receive SMS/text messages from ApexLab related to your inquiry, appointments, services, and promotions. Message frequency varies based on your interactions with us. You can opt out at any time by replying STOP. For help, reply HELP. Standard message and data rates may apply.
6. Third-Party Platforms
Our services rely on third-party platforms (e.g., Meta, Google, hosting and CRM providers). We are not responsible for changes, outages, account restrictions, or policy decisions made by those platforms.
7. Intellectual Property
Upon full payment, you own the final deliverables created specifically for you. ApexLab retains ownership of its pre-existing tools, templates, processes, and know-how, and may showcase non-confidential work in its portfolio unless you request otherwise in writing.
8. Confidentiality
Each party agrees to keep the other's non-public business information confidential and to use it only to perform under the engagement.
9. Limitation of Liability
To the fullest extent permitted by law, ApexLab's total liability arising out of or relating to the website or the services will not exceed the fees paid by you to ApexLab in the one (1) month period preceding the claim. ApexLab is not liable for indirect, incidental, or consequential damages.
10. Termination
Either party may terminate an engagement as described in the applicable agreement, or with reasonable written notice if no term is specified. Fees for work performed up to the termination date remain payable.
11. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of the website or services after changes take effect constitutes acceptance of the revised Terms.
